Essential Requirements for Malaysian Company Formation
The Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia, abbreviated as SSM) is the official body in Malaysia for the incorporation of companies or registration of businesses, established on April 16, 2002. There is no minimum paid-up capital requirement for registering a limited liability company in Malaysia, providing greater flexibility for entrepreneurs.
Basic Requirements
- Company Type: Typically a private limited company (Sendirian Berhad or Sdn Bhd).
- Shareholder(s): Minimum of 1 shareholder. Shareholders can be individuals or corporations, with no restrictions on nationality or residency.
- Director(s): Minimum of 1 director. Directors can be of any nationality but must have a Malaysian residential address.
- Registered Address: The company must have a contactable registered office address within Malaysia.
- Company Secretary: Every company must appoint a company secretary. The company secretary must be a member of a qualified professional body or approved by the SSM. We offer company secretarial services.
- Company Name: The proposed company name must be unique and comply with SSM's naming guidelines. Please provide 1-3 alternative names.
- Principal Business Activities: A clear description of the company's main business activities is required.
- Registered Capital: Legally, the minimum registered capital starts from MYR 1 with no upper limit.
- Company Constitution: The company is required to prepare a Memorandum and Articles of Association (MAA).
